Eligibility & scope

Does my token need a MiCA whitepaper?

Most tokens intended for public offer or admission to trading on an EU platform do. MiCA's exemptions are narrower than most projects assume. If your project has any EU listing ambitions, a whitepaper is required.

We're doing an airdrop, are we exempt?

Probably not. The free distribution exemption only holds if the airdrop is genuinely unconditional. It falls away the moment you require wallet addresses, social media engagement, testnet participation, or any form of data from recipients. Critically, any communication of an intention to seek EU admission to trading nullifies the exemption entirely, regardless of whether money is changing hands. If your project has any future EU listing ambitions, assume a whitepaper is required.

We are not based in the EU, can we still notify a whitepaper?

Yes. Issuers established outside the EU with no EU branch can notify a whitepaper to the member state where they intend to make their first public offer, or where they first seek admission to trading.

Does the whitepaper cover all EU member states?

Yes. The MiCA whitepaper notification operates on a passporting basis. Once notified to your home member state authority, it covers the entire EU.

Are there any additional costs beyond Axis' professional fee?

In addition to Axis' professional fee, three third-party costs arise in every engagement for which a whitepaper is required:

  • MFSA notification fee: €2,500 payable directly to the regulator on submission of the whitepaper notification. This is a one-time regulatory charge and is not negotiable.
  • DTI registration: €184 per Digital Token Identifier (DTI), procured and managed by Axis on your behalf through the DTI Foundation. Please note that a DTI is required per chain upon which the token will be launched.
  • Environmental sustainability disclosures: approximately €750 for the formal calculation of your token's principal adverse environmental impacts, produced by one of the leading specialist providers at a preferential rate negotiated by Axis and passed directly to you at cost.

Please note that these costs are treated as disbursements i.e. Axis takes no margin on any of them.

What goes into the whitepaper

What is a token regulatory assessment and why do we need one?

Before drafting a single line of the whitepaper, Axis's legal counsel prepares a formal analysis of why your token falls within the "other crypto-assets" category under MiCA, confirming it is not an asset-referenced token, not an e-money token, and not excluded from MiCA's scope entirely. This is not a formality. Regulators actively scrutinise token classification, and an assessment that states a conclusion without walking through the reasoning provides limited protection. The token regulatory assessment is submitted to the NCA alongside the whitepaper and forms your primary legal defence in any future supervisory review.

Our token involves a public sale, does that change anything?

Yes. If your project involves raising funds from the public in exchange for tokens (whether in fiat or crypto), the ICO track applies. This triggers a substantial additional layer of disclosure covering offer structure, fundraising targets, issue price, subscription terms, safeguarding arrangements, refund mechanisms, and investor withdrawal rights. Retail purchasers have an unconditional 14-day right of withdrawal from any purchase made directly from the offeror. Axis provides tailored guidance and additional information collection for projects on this track.

What are the environmental disclosure requirements?

MiCA requires every whitepaper to include formally calculated data on the principal adverse environmental impacts of the consensus mechanism used to issue the token (covering energy consumption, renewable energy use, and greenhouse gas emissions at Scope 1 and 2 level). This cannot simply be estimated. Axis works with a specialist sustainability partner to produce and validate these disclosures for every engagement, with preferential rates passed directly to clients.

What is a DTI and do we need one?

A Digital Token Identifier is a unique identifier assigned to your token through the DTI Foundation. It was historically treated as optional but is now a hard prerequisite i.e. NCAs will not forward a whitepaper to ESMA without one. If your token is already live on-chain, the DTI is registered against its smart contract address. If not yet deployed, a provisional DTI can be issued and updated later. Each registration costs €184, which Axis procures and manages on your behalf.

What is XBRL and why does it matter?

Since December 2025, NCAs will not forward a whitepaper notification to ESMA unless the document has been prepared in iXBRL format using ESMA's prescribed taxonomy. Every data point must be tagged to a specific format. A whitepaper that reads well but fails XBRL validation simply will not be notified. Axis handles the full XBRL conversion in-house as part of every engagement.

Process & timelines

What does Axis actually do, is this a self-service tool?

No. Axis is a specialist regulatory consultancy. We prepare everything on your behalf: the token regulatory assessment, the full whitepaper draft, XBRL conversion, procurement of the DTI registration and environmental sustainability disclosures, ending with the NCA submission package. You answer our questions and review the draft. We handle the rest.

How long does Axis take to prepare the whitepaper?

Once all information has been collected from your team, Axis targets delivery of a complete draft for client review within 7 working days.

Once the whitepaper is notified, can we immediately list the token?

No and this catches projects out. From the date of notification, a minimum of 20 working days must pass before the whitepaper can be published. Only after publication can the public offer commence or the token be admitted to trading, with at least one additional day required between publication and go-live. Factor this into your listing timeline from day one.

Post-notification

Is this a one-time process?

The notification itself is a one-time filing. Once notified, your token has its EU market access. However, MiCA imposes an ongoing obligation to update your whitepaper whenever a significant new factor, material mistake, or material inaccuracy arises that could affect a holder's assessment of the token. This obligation runs for as long as the token remains admitted to trading or publicly offered. Axis can assist with modifications as they arise.

Can I change the contents of the whitepaper after it has been notified but before publication?

Yes, but the notification date must be revised to reflect the date the change was made, which resets the 20 working day clock and could delay the planned start date of the offer or admission to trading. Changes at this stage should be carefully considered against your timeline.

Can I change the contents of the whitepaper once it has been published?

No. The version originally notified to the NCA must remain publicly available on your website i.e. it cannot simply be replaced. Material changes are captured as a formal whitepaper modification under Article 12 of MiCA and require a new notification. This obligation runs for the entire duration of the public offer or for as long as the token remains admitted to trading.

What rules apply to marketing communications?

MiCA imposes strict conditions on any marketing material relating to your token from the moment the whitepaper is published. Every communication must be clearly identifiable as marketing material, be fair, clear, and not misleading, and be fully consistent with the whitepaper. No marketing communications may be distributed before the whitepaper has been published. Each piece must also carry a mandatory regulatory statement in a clear and prominent position.
